Eric Sprott Puts $3.6M Into Goldgroup Mining via Private Placement

Sep 25, 2026Reported Updated

The Canadian precious-metals investor subscribed for 994,300 units of the TSXV-listed gold miner on September 25, and the trade reached SEDI three days later.

The Filing

Eric Sprott has added to his position in Goldgroup Mining Inc. (TSXV: GORO), acquiring $3.63 million of stock through a prospectus-exempt private placement.

Filings submitted to the System for Electronic Disclosure by Insiders (SEDI) on Monday, September 28, 2026 show that Sprott — acting through his holding company, 2176423 Ontario Ltd. — acquired 994,300 common shares on Friday, September 25.

SEDI records the transaction twice: once under the holding company as a direct holding, and once under Sprott himself as an indirect one. They describe the same purchase, not two.

Transaction Overview

Total paid: $3,629,195 (994,300 shares at $3.65).

Shares acquired: 994,300 common shares.

Warrants received: 497,150, exercisable at $5.10, expiring March 25, 2028.

Traded: Friday, September 25, 2026.

Reported to SEDI: Monday, September 28, 2026.

Method: acquisition under a prospectus exemption — a private placement, not an open-market purchase.

The Warrants Came With the Shares

Each unit in the placement comprised one common share and one-half of one share-purchase warrant. The arithmetic matches exactly: 497,150 warrants against 994,300 shares.

The warrants were attached to the units rather than bought separately, so the $3.65 unit price covers both and no additional money changed hands for them. They are exercisable at $5.10 until March 25, 2028 — above the $4.59 close on September 29.

Where the Position Stands

After the purchase, Sprott holds 11,929,046 common shares of Goldgroup through 2176423 Ontario Ltd., worth about $54.8 million at the September 29 close of $4.59, alongside 4,460,213 warrants.

He had been buying in the open market a month earlier as well: 50,000 shares at $3.7452 on August 18 and 75,000 at $3.9390 on August 19.

The placement was priced at $3.65. GORO closed at $4.97 on the day of the trade and has drifted about 11% lower over the past month. A placement price is agreed when the financing is struck, not on the day it closes.
